1. Services Overview

Keystone Concierge LLC ("the Company," "we," "us," or "our") acts as an operational coordinator and contracting counterparty for private travel services. We provide comprehensive travel management solutions for high-net-worth individuals, family offices, executives, and diplomatic travelers.

The Company does not directly provide aviation, accommodation, transport, security, or other travel-related services. All such services are provided by third-party vendors with whom we maintain professional relationships.

2. Financial Terms

Client funds are received in advance via a single deposit and are used exclusively to pay third-party vendors on behalf of the client. The Company manages all vendor payments, eliminating the need for clients to engage directly with multiple service providers.

Upon completion of services or termination of the engagement, unused funds will be returned to the client within a reasonable timeframe. A clear reconciliation statement will be provided, detailing all expenditures and remaining balances.

Service fees charged by Keystone Concierge LLC are separate from vendor costs and will be disclosed prior to engagement.

3. Third-Party Services

The Company coordinates with third-party vendors to deliver travel services. These vendors operate independently, and while we carefully select our partners, we are not liable for acts, errors, omissions, or failures of third-party vendors.

All services arranged through the Company are subject to the terms and conditions of the respective third-party providers, as well as availability and external conditions beyond our control.

4. Limitation of Liability

The Company's liability is limited to the fees paid directly to Keystone Concierge LLC for coordination services. We shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services or the services of third-party vendors.

In no event shall the Company's total liability exceed the amount of fees paid by the client for the specific engagement in question.

5. Confidentiality

The Company maintains strict confidentiality regarding all client information, travel details, and financial matters. Client information is shared only with necessary vendors on a need-to-know basis to facilitate service delivery.

6. Cancellation and Refunds

Cancellation policies are determined on a case-by-case basis depending on the specific services arranged and the policies of third-party vendors. The Company will make reasonable efforts to recover funds from vendors in the event of cancellation.

Refunds for unused deposits will be processed after deducting any non-recoverable vendor costs and applicable service fees.

7. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of Georgia. Any disputes arising from or related to these terms or the services provided shall be subject to the exclusive jurisdiction of the courts of Georgia.

8. Dispute Resolution

In the event of any dispute, the parties agree to first attempt resolution through good-faith negotiation. If a resolution cannot be reached within thirty (30) days, the dispute may be submitted to binding arbitration in Tbilisi, Georgia, under the rules of applicable commercial arbitration procedures.

9. Amendments

The Company reserves the right to modify these Terms and Conditions at any time. Clients will be notified of significant changes. Continued use of our services following any modifications constitutes acceptance of the updated terms.
